By ticking the agreement box and submitting the application/order, the applicant (“Customer”) accepts these terms. These terms apply to all credit sales. Last updated: 12 November 2025.

1. Account opening and credit limit

  1. Credit is discretionary. We may approve, set, reduce, suspend, or withdraw credit at any time.
  2. We may require security as a condition of credit, including a personal guarantee, deposit, direct debit mandate, or a fixed/floating charge.
  3. You warrant all information supplied is true and complete and will notify us of any material change promptly.

2. Orders, pricing, and VAT

  1. Orders are accepted when we issue written acceptance or dispatch goods.
  2. Prices are ex-VAT unless stated. VAT is charged at the applicable rate.
  3. Quotes are valid for the period stated or 14 days if none is stated.

3. Delivery and risk

  1. Delivery dates are estimates. We DO NOT guarantee delivery dates or times.
  2. Risk in goods passes on delivery to the Customer or its carrier/site.
  3. Where goods are drop-shipped, delivery may be made directly from the manufacturer or distributor.

4. Payment terms

  1. Unless agreed otherwise in writing, payment is due within 30 days from invoice date.
  2. You must pay in full without set-off or counterclaim.
  3. We may allocate payments to invoices at our discretion.

5. Late payment and costs

  1. Statutory interest accrues on overdue sums under the Late Payment of Commercial Debts (Interest) Act 1998 (currently 8% above Bank of England base rate) plus fixed compensation and reasonable recovery costs.
  2. We may suspend deliveries, withdraw credit, and place the account on stop if any amount is overdue or the credit limit is exceeded.

6. Retention of title

  1. Title in goods remains with Access Flooring Group Ltd until all sums due are paid in full.
  2. Until title passes, you hold goods as bailee, store them separately, keep them identifiable and insured, and must not remove or deface identification marks.
  3. If you resell before title passes, you hold proceeds on trust for us up to the amount owed.
  4. We may enter your premises to recover goods if payment is overdue or on insolvency.

7. Inspection and claims

  1. You must check deliveries on arrival. Shortage, damage, or non-conformity must be notified in writing within 48 hours of delivery; non-delivery within 3 working days of expected date.
  2. Do not install or fix goods with visible defects. Installed goods are deemed accepted.

8. Returns

  1. Returns require prior written authorisation and an RMA. Bespoke or made-to-order items are non-returnable.
  2. Approved returns must be unused, in original packaging, and may be subject to a restocking charge and carriage.

9. Warranties

  1. Manufacturer warranties apply where provided. We pass through supplier warranties to the extent permitted.
  2. You are responsible for ensuring suitability for your application and compliance with applicable standards and site conditions.

10. Limitation of liability

  1. Nothing limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.
  2. We are not liable for loss of profit, revenue, business, contracts, data, or any indirect or consequential loss.
  3. Our total aggregate liability for a claim is limited to the price paid for the goods giving rise to the claim.

11. Data, credit checks, and fraud prevention

  1. We may verify identity and run credit checks with licensed credit reference agencies and fraud-prevention services. Lawful basis: legitimate interests and contract performance.
  2. We may share account performance with agencies. Late or missed payments may affect the Customer’s credit rating.
  3. We may request and retain KYC documents (e.g., ID, proof of address, company documents) and perform PEP/sanctions screening.

12. Security and guarantees

  1. We may require a personal guarantee from one or more directors or owners. The guarantee will be a continuing security for all sums due.
  2. For higher limits, we may require a fixed or floating charge registered at Companies House, a deposit, or a direct debit mandate.

13. Suspension and termination

  1. We may suspend or cancel outstanding deliveries if you breach these terms, exceed your limit, or we have reasonable concerns about solvency.
  2. On termination, all sums become immediately due and payable.

14. Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control, including supplier failure, transport issues, strikes, extreme weather, or legal restrictions.

15. Compliance and site responsibilities

  1. You are responsible for correct storage, handling, and installation in line with manufacturer guidance and applicable standards.
  2. Where goods are installed by third parties, their workmanship is outside our scope and liability.

16. Notices

Formal notices must be sent by email to sales@access-flooring.co.uk and by post to the registered office, or to the Customer’s last known address.

17. Governing law and jurisdiction

These terms and any dispute are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

18. Variation, severability, and entire agreement

  1. No variation is binding unless agreed in writing by an authorised officer of Access Flooring Group Ltd.
  2. If any provision is held invalid, the remainder remains in force.
  3. These terms, the order, and any written product-specific conditions form the entire agreement and supersede prior terms.
